These Terms of Use (these “Terms”) govern your access and use of this web site, http://www.GBWMI.org (“Site“), made available to you by the Goldie B. Wolfe Miller Women Leaders in Real Estate Initiative (“Initiative”, “we”, “us“, or “our“).   By accessing or using the Site, you hereby agree to these Terms together with our Privacy Policy. If you do not agree with these Terms or our Privacy Policy, do not access or use the Site.

Changes to Terms. We reserve the right to modify or amend these Terms at any time. All changes will be effective immediately upon posting to the Site. Material changes will be conspicuously posted on the Site. By accessing or using the Site after such changes are posted you agree to all such changes.

Privacy Policy. Access to this Site may be monitored from time to time and we may collect certain information from your use of this Site as set forth in our Privacy Policy, incorporated into these terms with this reference.  Your use of this Site constitutes your consent to such monitoring and data collection as set forth in our Privacy Policy.

Third-Party Web Sites. The Site may link to, or be linked to, web sites not maintained or controlled by the Initiative.   This may include third party resources or online merchants.  Such links are provided as a convenience and the Initiative is not responsible for examining or evaluating the content or accuracy of, and does not warrant or endorse, any third-party web site or any products or services made available through such web sites. Please take care when leaving the Site to visit a third-party web site. You should read the terms of use for each web site that you visit.

Intellectual Property Rights; Use of the Site.  The Site, including without limitation its text, audio, video, graphics, charts, photographs, interfaces, icons, other content, software, computer code, data, trademarks, logos, slogans, names of products and services, documentation, other components, and the design, selection, and arrangement of content is exclusively the property of the Initiative and, as applicable, its suppliers and licensors, and is protected by copyright, trademark, and other intellectual property laws.  You may download and print one copy of the Site’s visible content for your personal and noncommercial use, provided you do not modify or delete any copyright, trademark, or other proprietary notices. You may not otherwise copy, reproduce, display, duplicate, sell, publish, post, license, otherwise distribute, or create derivative works of the Site or any part of the Site without the prior written consent of the Initiative. Any unauthorized use of any trade dress, marks, or any other intellectual property belonging to the Initiative or any third party is strictly prohibited, and may be prosecuted to the fullest extent of the law. The Site may contain references to third-party marks and copies of third-party copyrighted materials, which are the property of their respective owners.

Feedback. The Initiative welcomes comments regarding the Site. If you elect to submit comments or feedback to us regarding the Site, they will not be considered or maintained as confidential.  We may use any comments or feedback that you send us in our discretion and without attribution or compensation to you.

Credit Card and Payment Card Information. You may submit credit card or payment card information via this Site for donations to the Initiative and for registering for Initiative events.  Information about our collection and use of such information is set forth in our Privacy Policy.   You must submit the necessary card information before your donation will be processed. If the card information that you submit is incorrect or invalid, your donation will not be processed. Our ability to process your donation is subject to the approval of the financial institution issuing the card. We assume no responsibility or liability if the financial institution refuses to accept or honor your card for any reason.  Donations are subject to transaction and credit card fees, which you may elect to cover on behalf of the Initiative at the time of checkout.  Donations are processed by our third-party payment processor and software vendor, Flipcause, Inc.   Refunds, if available, are solely the responsibility of the Initiative and are at the Initiative’s sole discretion.

Initiative Events; Volunteer Sign-Up; Request for Additional Information. We also use Flipcause, Inc. to manage registration for Initiative events and volunteer sign-up for Initiative events.  Events are subject to change at the Initiative’s sole discretion without notice to you. If you sign up to volunteer or register for an event using the Site, you agree to be added to one or more of the Initiative’s mailing lists. You may unsubscribe from such emails by following the instructions at the footer of any email.  Please see our Privacy Policy for additional information on the information we collect.

Merchant Referral.  We also use the features provided by Flipcause, Inc. to refer Site visitors to online merchants. The merchant referral feature allows the Initiative to earn a referral fee when you make purchases through such online merchants.  The Initiative is not responsible for examining or evaluating the content or accuracy of, and does not warrant or endorse, any third-party products or services made available through any online merchant.

Scholarship Application Portal. The Site provides access to a portal through which we accept scholarship applications, which is maintained and operated on our behalf by MicroEdge, LLC. You will need to create an account with MicroEdge, LLC in order to submit a scholarship application. Any account registration is subject to MicroEdge, LLC’s Terms of Use. Scholarships are awarded by the Initiative at its sole discretion and award criteria are subject to change at the Initiative’s sole discretion. The Initiative makes no guarantees of any kind with respect to any scholarships or other awards that may or may not be provided. Scholarship application materials will not be returned to you. By submitting a scholarship application you hereby agree to these Terms. If you do not agree with these Terms, do not submit a scholarship application.

Compliance with Laws; Conduct. All offers set forth on this Site are void where prohibited, and are subject to the posting of any official rules pertaining to such offers.  Some services offered on this Site may not be available in certain areas.  You are responsible for complying with all local, state, and federal laws and regulations that apply to your use of the Site. You may not submit inaccurate information via the Site, commit fraud or falsify information in connection with your use of the Site, or act maliciously against the business interests or reputation of the Initiative.

No Warranty. The Site is provided “as is,” without any warranty of any kind. Neither the Initiative nor its suppliers, or licensors are responsible for providing maintenance or support services for the Site. The Initiative makes commercially reasonable efforts to ensure that all material, information, and data on the Site is accurate and reliable, but accuracy cannot be guaranteed. The Initiative does not guarantee the quality, completeness, timeliness, or availability of the Site. The Initiative does not warrant that the Site will be uninterrupted or error-free, that any defects in the Site will be corrected, or that the Site or the servers that make the Site available are free of viruses or other harmful conditions or components. To the maximum extent permitted by law, the Initiative expressly disclaims all warranties of any kind with respect to the Site, including without limitation those regarding availability, quality, accuracy, fitness for any use or purpose, compatibility with any standards or user requirements, title, and noninfringement. The Initiative has no responsibility for the timeliness, deletion, misdelivery, or failure to store any user communication. Your use of the Site is at your own risk and you, alone, are responsible for any damage to your computer hardware, software, systems or networks, any loss of data that results from the download of any information, and for all other damage that may be incurred. No advice or information, whether oral or written, obtained by you from the Initiative or in any manner from the Site creates any warranty.

No Liability. In no event will the Initiative or its suppliers, licensors, officers, directors, employees, consultants, agents, or representatives be liable for any direct, indirect, special, incidental, exemplary, punitive, or consequential loss or damage, or any other loss or damage of any kind, arising out of or in connection with the Site or your use of the Site (including without limitation the input of personally identifiable and other information into the Site), whether the claim is based in contract, tort (including negligence), strict liability, warranty or otherwise, and even if the initiative has express knowledge of the possibility of such loss or damage. Your sole and exclusive remedy is to stop accessing and using the Site. Some states do not allow the exclusion or limitation of certain damages, so some of the above exclusions and limitations may not apply to you.

Indemnification. You shall indemnify, defend, and hold harmless the Initiative and its affiliates officers, directors, employees, consultants, agents, and representatives from and against all losses, claims, liabilities, demands, complaints, actions, damages, judgments, settlements, fines, penalties, damages, expenses and costs (including without limitation reasonably attorneys’ fees) that arise out of or in connection with your use of the Site, your use of any material, information, or data downloaded or otherwise obtained from the Site, or your violation of these Terms, including your infringement of any intellectual property or other right of the Initiative or any other person or entity.

Linking to the Site. If you operate a web site and are interested in linking to the Site, you agree to be bound by the following rules: (1) the link must be a text-only link and clearly marked; (2) the link must “point” to the URL “http://www.gbwmi.org” and not to any other page; (3) the link and its use must be in connection with a web site of appropriate subject matter that furthers the mission of the Initiative; (4) the link and its use must not, nor have the potential to, damage or dilute the goodwill associated with the Initiative’s names and marks; (5) the link and its use must not create the false appearance that a person, program, or entity other than the Initiative is associated with or sponsored by the Initiative; (6) the link, when activated by a user, must display the Site full-screen and not within a “frame” on your web site; and (7) the Initiative reserves the right to revoke consent to link to the Site at any time in its sole discretion, either by amending these Terms or through other notice.

Disputes. These Terms are governed by the laws of the state of Illinois. Venue is exclusively in Cook County, Illinois, with respect to any dispute arising under these Terms unless otherwise determined by the Initiative in its sole discretion. If there is a dispute, the prevailing party will be entitled to recovery of its costs and expenses, including reasonable attorneys’ fees. Any cause of action or claim with respect to the Site must be commenced within 1 year after the action or claim arises.

Interpretation. These Terms, including the Privacy Policy, are the entire agreement between you and the Initiative with respect to your access to and use of the Site. The Initiative’s failure to enforce any provision in these Terms will not constitute a waiver of such provision or any other provision; any waiver of any provision of these Terms will be effective only if in writing and signed by the Initiative. If any provision of these Terms, as they may be modified from time to time, is held invalid, void, or unenforceable, that provision will be considered severable from the remaining provisions and the remaining provisions shall remain in full force and effect. The headings in these Terms are for convenience only and do not affect the interpretation of these Terms. These Terms will inure to the benefit of the Initiative’s successors and assigns.

Survival. Certain provisions, by their nature or as explicitly stated, will survive any termination or expiration of this Agreement.

Electronic Communications. You agree that these Terms and any other documentation, agreements, notices or communications between you and the Initiative may be provided to you electronically to the extent permissible by law. Please print or otherwise save a copy of all documentation, agreements, notices, and other communications for your reference.
